These Terms of Use ("Terms") govern your access to and use of PresideTech's website, tools, downloadable software, and services, including the RC4 Active Directory Security Assessment ("Assessment Services"). By accessing PresideTech's website, downloading the RC4 Collector, or purchasing Assessment Services, you agree to these Terms on behalf of yourself and the organization you represent. If you do not agree, do not use our services.
You agree to use PresideTech's services and software only for lawful purposes and only against systems you own or for which you have explicit written authorization to conduct security assessments. You agree not to:
All content on PresideTech's website and all PresideTech software, tools, reports, methodologies, and deliverables are the intellectual property of Preside Inc. and are protected by United States and international copyright, trademark, trade secret, and other applicable intellectual property laws.
Nothing in these Terms grants you any ownership interest in PresideTech's intellectual property. Licenses granted in connection with purchased services are described in the applicable SOW and are limited to those expressly stated.
The PresideTech name, logo, and all product names are trademarks of Preside Inc. You may not use PresideTech's marks without prior written consent.
PRESIDETECH'S WEBSITE, SOFTWARE, AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRESIDE INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRESIDE INC.'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF PRESIDETECH'S WEBSITE OR FREE MATERIALS SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00). FOR CLAIMS ARISING FROM PURCHASED ASSESSMENT SERVICES, THE LIABILITY CAP IN THE APPLICABLE SOW GOVERNS.
These Terms are governed by the laws of the State of California without regard to conflict of law principles. Any disputes arising under these Terms are subject to binding arbitration under the AAA Commercial Arbitration Rules, seated in Los Angeles County, California, consistent with the dispute resolution provisions in Section 9 of the SOW. If no SOW applies, disputes shall be resolved by AAA arbitration on an individual basis in Los Angeles County, California.
PresideTech reserves the right to update these Terms at any time. Updated Terms will be posted at presidetech.com/Terms-MSRC4 with a revised effective date. Continued use of PresideTech's services after such posting constitutes acceptance of the updated Terms.
